Yes, we can invest in US entities.

However, when doing deals in the US, the target will likely request us to certify that the SPV is an accredited investor. In order for us to do so, we will request each investor to self-certify that they are an accredited investor. Such a declaration is made in the subscription bulletin of the investor.

Alternatively, if the investors in the SPV are not accredited, you should ask the target company whether they agree to issue securities under the Regulation S framework. This allows the SPV to invest in the target even if the investors (non-US) are not accredited.
